1. Scope and Contracting Party
These Terms and Conditions apply to all contracts for editorial services between Basongoelyx GmbH (share capital 35,000 €, Managing Director Theresa Maier, Landstraße 142, 4020 Linz), hereinafter referred to as the "Provider", and its clients.
2. Scope of Services and Ordering
The subject of the contract is the creation of texts, editorial services, or localizations according to the individual agreement. A contract is concluded once the Provider confirms the offer in writing (via email). The specific details of the service are defined in a briefing document.
3. Pricing and Payment Terms
All stated prices include the statutory VAT of 20%. Billing is based on the units defined in the offer (e.g., per 1,000 words or per hour).
Upon placing an order, a deposit of 30% of the estimated total value is required. For B2B clients, the payment term is 14 days after receipt of the invoice. Urgent orders are subject to a surcharge of 50% of the standard price.
4. Project Workflow and Revisions
The standard delivery period is 7 days from the receipt of all required information. A maximum of 2 revision rounds are included in the package. Further changes will be charged based on actual effort. Drafts are archived by the Provider for a period of 12 months.
5. Usage and Copyrights
The exclusive usage rights to the created texts transfer to the client only after full payment of all fees. The Provider reserves the right to mention the work in its portfolio unless otherwise agreed in writing. For interviews, the client is responsible for obtaining the publication consent of the interviewees.
6. Liability and Warranty
The Provider commits to performing the work with due care. Liability for slight negligence is excluded, provided no essential contractual obligations were breached. Content is created based on information provided by the client; the client is liable for the factual accuracy of such information.
7. Right of Withdrawal and Termination
Consumers are entitled to the statutory right of withdrawal in accordance with the FAGG. However, this right expires prematurely if the service has been fully performed. In the event of termination after the briefing but before completion of the work, the hours already spent will be invoiced according to the rates in our services.
8. Final Provisions
The laws of the Republic of Austria shall apply. The place of jurisdiction for all disputes is Linz. We additionally refer to our Privacy Policy in accordance with the DSGVO.
